Elon has stated one of his goals is to get rid of spam / bot accounts.
You think Twitter couldn’t wipe out 80%+ based on some simple algorithms? Of course they could. But they are a public company whose valuations in part depends upon an active user count. Improving the quality of the user base would impact their company valuation in the short term. I suspect that the spam / bot accounts make up a far larger percent of the reported active user count than most people think.
It's a win/win for Musk. If it's proven that a large percentage of accounts are fake he can pull out and Twitters stock will plummet enabling him buy at a cheaper price if he chooses to. If it is a low percentage of fake accounts he's got data to drive more advertisement/information selling.
That's just it though. The price drops if it's high and there are inaccurate reports. It's a part of the acquisition process of every business unless the buyer is an absolute idiot. I know you know this. Just agreeing.If there is a high percentage of fake accounts he'd be crazy not to, or use it as leverage to renegotiate the price.

Who cares about Twitter stock. He's buying it outright.Let's see how it shakes out. Twitter stock is down and Tesla stock is up precisely because investors believe the deal is on the rocks.
Also, the bot situation has been known and disclosed by Twitter for a long time. Musk can't act surprised by it. He's desperately looking for an out.
